1.0Acceptance of these terms

These Terms & Conditions ("Terms") are a binding agreement between you and Phaseno, a brand of The Nelson M Group LLC ("Phaseno," "we," "us"). They govern your use of phaseno.com and related services, including email and text-message programs (the "Services"). By using the Services or submitting a form, you agree to these Terms, our Privacy Policy, and, if you opt in to texts, our SMS Terms. If you do not agree, do not use the Services.

2.0What Phaseno is, and is not

Phaseno is an information service. We publish general, plain-language information about how clinical research works, how to read a study listing, what informed consent means, and which inquiries to ask a study team, and let visitors opt in to related updates. We never give medical advice, diagnosis, or treatment, do not run, recruit for, or enroll people in clinical studies, and do not match or refer people to studies or research sites, and we never share your details with study sponsors, research sites, recruiters, pharmaceutical or device companies, lead-generation companies, or any other partners.

• Decisions about your health and about taking part in any research are yours. Reading our content does not obligate you to do anything.
• Your doctor and the study team, not Phaseno, decide whether a study is right for you and explain its risks, procedures, and conditions.
• Every study is different. We never guarantee that any study is safe, suitable, or open to you, or that you will qualify for or benefit from any research.

3.0Eligibility

You may use the Services only if you are 18 or over, are in the United States, and are able to agree to a binding contract. Information you submit must be about you, or about a person who has authorized you to submit it.

4.0Your information and accuracy

Accurate, current information is required, and you agree to update it as needed. Do not give us a mobile number unless it is yours or you are authorized to use it. If your number changes or is reassigned, please reply STOP from the old number or contact us so that we do not message someone else.

5.0Communications and text-message consent

You agree, if you opt in, to receive email from us and, only for the boxes you check, automated text messages as described in the SMS Terms. Consent to texts is optional, is not a condition of purchase or of using the Services, and may be withdrawn at any time by replying STOP. Message frequency varies. Message and data rates may apply. • STOP: Reply STOP to any message to opt out (STOPALL, UNSUBSCRIBE, CANCEL, END and QUIT also work). You will get one confirmation text and then no more messages.

Mobile information and opt-in data are not sold or shared with third parties or affiliates for marketing or promotional purposes. See the Privacy Policy and SMS Terms.

7.0Acceptable use

Do not (a) submit information that is false, misleading, or belongs to someone else, (b) use the Services unlawfully, fraudulently, or abusively, (c) disrupt the Services or attempt unauthorized access, (d) fill in forms with bots or automated means, (e) copy, scrape, or resell our content without permission, or (f) impersonate anyone. If you do, your access may be suspended or ended.

8.0Third-party organizations and links

Organizations, programs, and products mentioned on or linked from the Services (for example government agencies, hospitals, or patient organizations) are operated by third parties. We do not endorse any product, plan, or provider, and we are not responsible for what those third parties do, publish, or deliver. Your relationship with any doctor or study team is between you and them.

9.0Intellectual property

The Services, including the Phaseno name, logo, text, graphics, and design, belong to us or our licensors and are protected by intellectual property law. You receive a limited, revocable, non-exclusive, non-transferable license to view and use the Services for personal, non-commercial purposes. Photographs on the Site are used under their own free-use licenses.

10.0Disclaimers

The services and all content are offered "as is" and "as available," with no warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We make no promise that the services will run without interruption or error, be secure, or that messages will arrive, or arrive on time.

Phaseno does not provide financial, legal, or tax advice, and makes no representation about any medical outcome, study result, or eligibility.

11.0Limitation of liability

To the fullest extent permitted by law, Phaseno and The Nelson M Group LLC, and their members, managers, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of (or inability to use) the services, or from any health or research decision you make or do not make. Our total liability for any claim relating to the services will not exceed one hundred U.S. dollars ($100).

Some of the limits above may be unenforceable where you live, since some jurisdictions disallow certain limitations. Liability that cannot be limited by law is not limited by these Terms.

12.0Indemnification

You shall indemnify and hold harmless The Nelson M Group LLC and its affiliates and personnel from all claims, damages, and expenses (among them reasonable attorneys' fees) arising from violating these Terms, misusing the Services, or providing a phone number or other information without authorization.

13.0Disputes, governing law, and arbitration

Informal resolution first. Start by writing to us at [email protected] and let us try to resolve it within 30 days.

Binding arbitration. Apart from small-claims matters and injunctive-relief claims over intellectual-property misuse, every dispute between you and Phaseno or The Nelson M Group LLC arising from or relating to these Terms or the Services shall be resolved through final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. At your choice, the arbitration is held in your county of residence or by video or phone. An arbitrator may award the same individual relief as a court, and judgment on the award can be entered in any court with jurisdiction.

Class-action waiver. To the extent permitted by law, you and Phaseno each agree to bring claims only on an individual basis and not as a plaintiff or class member in any class, collective, or representative action.

Opt-out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing [email protected] and include "Arbitration Opt-Out" as the subject, along with your name and mobile number.

Governing law. These Terms are under the Federal Arbitration Act and to the law of the state of The Nelson M Group LLC's principal place of business, disregarding conflict-of-law rules. Other than as the arbitration clause offers, courts of that state, state and federal, have exclusive jurisdiction.

14.0Termination

You may stop using the Services at any time, and may opt out of messages by replying STOP. Access may be suspended or terminated by us at our discretion, for example for violations of these Terms. Sections that by nature are intended to survive, including disclaimers, limitation of liability, indemnification, and disputes, remain in force after termination.

15.0Changes

These Terms may change from time to time. Any new version will be posted with a new "Last updated" date, and continuing to use the Services after its effective date means you accept it. Where the law requires notice of material updates, we will give it.

16.0General

You and we agree that these Terms, together with the Privacy Policy and SMS Terms, are the complete agreement on this subject. If any part cannot be enforced, the rest stays in effect. A waiver only occurs if we say so; failing to enforce is not one. You may not assign these Terms without consent, and we may assign them in a merger or sale.
